Aurate $25K Sweepstakes Terms & Conditions

1. SWEEPSTAKES DATES:

The Aurate $25,000 Sweepstakes (the “Sweepstakes”) begins at 12:00:00 a.m. Eastern Time (“ET”) on September 25, 2025 and ends at 11:59:59 p.m. ET on October 31, 2025 (the “Sweepstakes Period”). For purposes of these Official Rules, all times are given in Eastern Time.

2. ELIGIBILITY:

Open to legal permanent residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older (nineteen (19) in AL and NE; twenty-one (21) in MS) as of the date of entry. Employees, officers, and directors of Aurate Inc. (“Sponsor”), its subsidiaries, affiliates, advertising/promotion agencies, and their immediate family members (spouses, siblings, parents, and children, regardless of residence) or those living in the same household are not eligible to participate. Sweepstakes is void outside the fifty (50) United States, D.C., and wherever prohibited by law. All federal, state, and local laws and regulations apply.

3. HOW TO ENTER:

A. Via Purchase:

Every $1 USD spent on auratenewyork.com during the Sweepstakes Period equals one (1) entry. Dollar amount is calculated after discounts are applied; taxes, shipping, and handling are excluded. If a purchase is canceled, declined, or refunded, the related entries will be void. From time to time during the Sweepstakes Period, Sponsor may, at its sole discretion, designate certain days as “Multiplier Days,” during which purchases made on auratenewyork.com may earn additional entries per dollar spent. The details of any Multiplier Day, including the dates and the multiplier amount, will be disclosed on auratenewyork.com at the time of the promotion. Sponsor’s determination of Multiplier Days and entry allocations shall be final and binding.

B. Alternate Method of Entry (“AMOE”):

To enter without making a purchase, complete the online form available at: Google Form (AMOE) .

Each completed form submission will equal one (1) entry. Limit one form submission per person per day during the Sweepstakes Period. Automated or bulk submissions are prohibited.

Limit: Regardless of method, an Entrant may not submit more than 7,500 entries during the Sweepstakes Period. Automated or bulk submissions are prohibited.

4. WINNER SELECTION/ODDS:

On or about November 1, 2025, Sponsor will conduct a random drawing from among all eligible entries received during the Sweepstakes Period to select: one (1) Grand Prize Winner of a $10,000 gift card; one (1) Second Prize Winner of a $5,000 gift card; and twenty (20) Third Prize Winners of a $500 gift card each. Odds of winning depend on the total number of eligible entries received.

5. PRIZES:

• One (1) Grand Prize: $10,000 Aurate New York gift card
• One (1) Second Prize: $5,000 Aurate New York gift card
• Twenty (20) Third Prizes: $500 Aurate New York gift card

Total prize pool: $25,000 in store credit.

Prizes will be awarded as credit redeemable exclusively at auratenewyork.com. Store credit may not be redeemed for cash, is non-transferable, and may not be substituted except at Sponsor’s sole discretion. Store credit is subject to the terms and conditions set by Sponsor and will expire at 11:59:59 p.m. ET on December 31, 2025, after which any unused balance will be void. Winners are solely responsible for any federal, state, or local taxes that may apply.

6. PRIZE CLAIMS:

Potential Grand Prize and Second Prize winners will be notified by email and/or phone within five (5) business days of the drawing. Winners must complete and return an Affidavit of Eligibility, Liability Release, and, where lawful, a Publicity Release, along with any required tax forms (e.g., IRS W-9), within five (5) business days of notification. Noncompliance may result in disqualification and selection of an alternate winner.

The value of a prize will be taxable to each winner as income. Sponsor will issue each winner an IRS FORM 1099-MISC for the value of the prize. All federal, state, and local taxes and any other costs and expenses associated with the acceptance and/or use of a prize not specifically provided for in these Official Rules are solely the responsibility of each individual winner. Winners are solely responsible for reporting and paying any and all applicable taxes. In the event it is deemed during the verification process that the potential Grand Prize Winner does not have a unique, personal and valid social security number for Sponsor (or any party acting on its behalf) to report the tax liability associated with acceptance of the Grand Prize, the potential Grand Prize Winner will be disqualified and another potential Grand Prize Winner may be randomly selected from among the remaining non-winning eligible entries received during the Sweepstakes Period, at the discretion of the Sponsor and time permitting. Valid social security numbers will be determined by IRS requirements.

Third Prize winners will be notified by email and/or phone within five (5) business days of the drawing. Winners must complete and return an Affidavit of Eligibility within five (5) business days of notification. Noncompliance may result in disqualification and selection of an alternate winner. Winners are responsible for all federal, state, and local taxes associated with acceptance and use of the prize, though Sponsor will not issue a Form 1099 for prizes valued under $600.

7. GENERAL CONDITIONS:

By participating, entrants agree to abide by these Official Rules and the decisions of Sponsor, which are final and binding. Entrants release Sponsor, its affiliates, and agencies from any liability arising from participation or receipt/use of any prize. Sponsor may cancel, suspend, or modify the Sweepstakes if it cannot be conducted as planned due to fraud, technical failures, or other causes beyond Sponsor’s control.

Regardless of the method of entry, Sponsor is NOT responsible for any entry that is lost, late, misdirected or undeliverable, whether due to system errors, omissions, interruption, deletions, defects, delay in operations or transmissions, theft or destruction or failures, faulty transmissions or other telecommunications malfunctions, entries not received resulting from any hardware or software failures of any kind, lost or unavailable network connections, failed, incomplete or garbled computer or telephone transmissions, typographical or system errors and failures, faulty transmissions, technical malfunctions, or otherwise.

Without limitation, Sponsor reserves the right in their sole discretion to disqualify any Entrant who tampers with the entry process, violates the Official Rules, or acts in a disruptive or unsportsmanlike manner.

This Sweepstakes is in no way sponsored, endorsed, administered by, or associated with Facebook, Instagram, TikTok, or any other social media platform on which it may be promoted. Entrants understand that information is provided to Sponsor and not to these platforms.

All decisions of the Sponsor regarding the Sweepstakes, including but not limited to eligibility, winner selection, and interpretation of these Official Rules, are final and binding in all respects.

8. GOVERNING LAW:

This Sweepstakes is governed by the laws of the State of New York. Except where prohibited, any disputes arising out of or relating to this Sweepstakes will be resolved exclusively by final and binding arbitration conducted in New York County, New York under the rules of the American Arbitration Association.
